GENERAL TERMS AND CONDITIONS

Online Industrial (Pty) Ltd is retail, online store and procurement service provider with representatives and technical support and backup. Online Industrial permits the use of this Website and services subject to the Terms and Conditions. By using this Website and services in any way, you shall be deemed to have accepted all the Terms and Conditions unconditionally. You must not use this Website nor Online Industrial services if you do not agree to the Terms and Conditions.

If there is any provision in these Terms and Conditions that you do not understand, it is your responsibility to ask Onlineindustrial to explain it to you before you accept the Terms and Conditions or continue using the Website and services.

1. Delivery policy
   • Courier deliveries and collections are contracted to Fastway couriers S.A which is subject to Fastway courier Terms and conditions.
   • Onlineindustrial offers free delivery within Gauteng for orders over R2000,00.
   • Any products over the weight of 30kg will be liable for extra charges unless agreed upon by Onlineindustrial, please contact us for further assistance.
   • Independent transporters, courier services may be used of which Onlineindustrial shall not be liable, nor responsibility for any loss or damage and delays and must be arrange by the client and arranged with Onlineindustrial.
   • Process of order/s 1-5 Days dependent availability, receipt of payment and client’s location/delivery point.
   • Insurance on deliveries may be provided for by Fastway courier.
   • Any damaged goods/Packaging must be refused for delivery of which the client must notify Onlineindustrial Pty Ltd immediately.
   • Check-out delivery address may differ from original address, please ensure correct details are enter of which Onlineindustrial shall not be liable for any incorrect delivery details enter, delays, loss, damage, expenses or whatsoever.
   • Onlineindustrial Pty Ltd shall not be deemed liable for any loss, damage or whatsoever during logistics.
   • Ecommerce customers shall receive notification of dispatch by waybill on payment receipt receival.
   • All order/s shall be deemed complete, correct, and checked by the client on receival of products and services by signatory whether by courier service, third party, company, receiver, and that Onlineindustrial shall not be held liable for any loss, damage, shortage, theft of goods or whatsoever. All order/s must be check immediately on receival, if any problems arise Onlineindustrial must be notified immediately within twenty-four hours.
   • All online purchases, parcels may be tracked through Fastway courier service web site. https://fastway.co.za

2. Return, Refund, Exchange policy
   • Online Industrial return policy shall be effective for twenty days from purchase date.
   • No product/s purchased shall be liable for return after twenty days from date of purchase and the return of such shall be the purchaser/client’s liability.
   • Cancellation of order/return/s of goods by client/purchaser will attract a 15% administration fee. The administration fee shall be null in void for Online Industrial 30 days account holders if the product/s are supplied incorrectly by Online Industrial.
   • Products may be exchange within seven days without the 15% administration fee for products total value arrange with and approved by Online Industrial.
   • No return/s will be accepted if the packaging is not sealed or has been tampered with and product/s in the original packaging. Faulty products are accessed by OEM before return, refund or exchange process is approved.
   • Transportation, courier fess will not be refunded on any returns, exchange, refunds other then agreed upon by Online Industrial.
   • In the event of No-Stock or unavailable goods, Online Industrial will refund the client/purchaser within fourteen days from order confirmation date and the client shall be notified immediately thereof. Online Industrial shall not be liable for non-stock products, unavailable items causing any loss, damage, or expenses to the user/consumer/company.
   • Confirmation of return is deemed the client’s responsibility and Online Industrial shall not be held liable for any late returns whatsoever.
   • Special buy-outs are not accepted for refund, return nor exchange other than agreed upon by the OEM/importer thereof and any charges related thereto shall be deemed the client’s liability.
   • Monetary refund will only be refunded in (ZAR) South African rand currency and may only be done by cashless transactions. Online Industrial will request additional information for refunds such as proof of product bar code, user I.D, address, account holder, credit card verification, bank account details and any additional details required.
   • Online Industrial will not refund, Non-Refundable items such as but not limited to, medical supplies, chemicals, lubricants, Paints, Laboratory consumables and equipment, perishable products, Online Industrial manufactured products, unless agreed upon by Online Industrial management written and agreed upon consent.
   • Designed and manufactured products are required to be signed off and full payment received before manufacture commencement, there after no orders may be cancelled, nor refunded and the client agrees full liability for any loss, damage, expenses, or whatsoever, directly, or indirect or associated with Online Industrial and associated manufacturers and suppliers.

3. Payment and account policy
   • All online transactions/payments are secured by accredited financial institutions (Payfast) ensuring the best security for the user.
   • Online Industrial offers the following payment options through affiliated third party: Payfast, VISA, Credit cards, Mastercard, instant EFT, Maestro, SCode, Mobicred, ABSA bank, Standard bank, Capitec, Nedbank, First national bank, African bank, Investec, Tymebank, More Tyme, Snapscan, Zapper, PayFlex, PayGate.
   • Direct EFT payment/s into Online Industrial Pty Ltd bank may take up to five days for clearance after payment receipt received.
   • Online Industrial does not except any form of cheque payments.
   • Online Industrial only excepts the above-mentioned methods of payment and only (ZAR) South African rand currency.
   • NO CASH is excepted on delivery or collection, by Online Industrial Pty Ltd unless authorized by Online Industrial in written consent thereof and must be arrange prior to collection or delivery.
   • Ownership of all goods supplied remains vested in Online Industrial until payment is made in full. The user/customer is not entitled to sell or dispose of any unpaid goods, nor allow the goods to become encumbered in any manner prior to full payment thereof and will be held liable and accountable thereof.
   • Once check-out has been completed, it is imperative that the correct payment details are entered, Online Industrial shall not be held liable for any loss, damage, expenses or whatsoever thereof.
   • Online Industrial 30 Days Account holders are stickily thirty days from date of invoice/ first month’s statement, and may not carry invoices, payment/s, nor withheld any payment/s for whatsoever reason into 60 Days from date of invoice/first statement. In the event of such infringement the client will be liable for a 20% interest per 20 days, as per outstanding statement value and thus agrees to full liability and responsibility of any additional fees and charges, collection fees, legal fees, tracing agents pertained to and from Online Industrial Pty Ltd and associates, that may be incurred thereof. The customer further agrees that in the event of its default in any respect whatsoever towards the creditor, the creditor shall be entitled to place the customer on “Stop supply” without any notice notwithstanding that the customer may have placed on order for the supply of goods prior to the stop supply date. The customer, account holder, directors, surety/ies hereby consent to the jurisdiction of the Magistrate’s court for all actions, which may be instituted against one, or all for the recovery of any amounts owing to the creditor and associates. All goods and services remain the property of Onlineindustrial Pty Ltd until full payment has been received by the creditor in respect of any such goods supplied to the customer and interests, fees, penalties paid in full. No amendment and/or alteration and/or variation and/or deletion and/or addition and/or cancellation of these terms and conditions, whether consensual and unilateral and bilateral shall be of any force and effect unless reduced to writing and signed by the creditor. No agreement, whether consensual or unilateral or bilateral, purporting to obligate the creditor to sign and written agreement to amend, alter, vary, delete, add, or cancel these terms and conditions shall be of any force and effect unless reduced to writing and signed by the creditor.  No warranties, representations or guarantee have been made by the creditor or on its behalf which may have induced the customer and/or the surety to sign this document.
   • Online Industrial 30 Days COD current account holders’ payments are due on the 1^st of each month and may not carry invoices, payment/s, nor withheld any payment/s for whatsoever reason into 30 Days. In the event of such infringement the client will be liable for a 20% interest per 20 days, as per outstanding statement value and thus agrees to full liability and responsibility of any additional fees and charges, collection fees, legal fees, tracing agents pertained to and from Online Industrial Pty Ltd and associates, that may be incurred thereof. No agreement, whether consensual or unilateral or bilateral, purporting to obligate the creditor to sign and written agreement to amend, alter, vary, delete, add, or cancel these terms and conditions shall be of any force and effect unless reduced to writing and signed by the creditor.  No warranties, representations or guarantee have been made by the creditor or on its behalf which may have induced the customer and/or the surety to sign this document.
   • For all purposes under this agreement including giving of any notice, the services of any process and for all other purposes arising from this agreement, the customer and the surety/ies hereby choose domicilium citandi et executandi at the physical address of the customer stipulated and of the face hereof.
   • No relaxation or indulgence granted by the creditor to the customer and/or the surety/ies shall be deemed to be a waiver of any of the rights of this agreement and the customer agrees to operation of law (Confusio or commixtio) from goods received incorrect, generic nature, broken, used.
   • The signatory/customer/user hereby binds himself/herself in his/her personal capacity as director (in the case of a company), member (in the case of a close corporation) or owner or partner as co-debtor jointly and severally for the full amount due to Online Industrial and agrees that these terms and conditions will apply mutatis mutandis to him/her.

4. Agreement of sale
   • Online Industrial does not constitute an order if the item is place within your cart until payment process is complete and funds reflect. Online Industrial shall not be deemed liable for any transaction uncompleted.
   • Online Industrial only accepts your offer to purchase/your order once the product or service has been dispatched.
   • The user/customer is liable for password safeguarding and any purchases made by the user/password, the client agrees to full liability for the transaction/s.
   • Online Industrial shall not be held liable for any price variations from selection, cart to payment process. Online Industrial reserves the right to change pricing, specifications, and content without warning at any time.
   • Once the client’s payment process has been completed, the client shall be liable for any expenses, fees incurred from payment process delays, price variations, courier fee increases, damage, loss or whatsoever incurred during the process.
   • Please note all products, services show stock available, in the event multiple quantities have been order of which Online Industrial may not be able to supply whole quantity at the same price, the client will be liable of any price increase and additional fees incurred or as agreed upon by Online Industrial. The client shall be notified by Online Industrial of such events.
   • Online Industrial reserves the right to cancel any orders, processed payment/s, delivery at Online Industrial own discretion without any giving reason whatsoever.
   • Certification of products are available on request at time of purchase, please make your request within the “Special comments” “Message instruction” column.

5. Age restriction
   • The onus is the liability of the user/customer to ensure that you, the user/customer/account holder from whom you may be buying a product/s on the website meets the set-out age restrictions as per South African government commerce laws.
   • You, the user/customer/account holder indemnify onlineindustrial.co.za and associations from any liability arising as a result of your failure to provide accurate information and details in this regard during, before and after the use of Online Industrial web site, online store, content, delivery and payment processes.

6. Disclaimer
   • Use of Onlineindustrial.co.za web site, content and services are entirely and wholly at your own risk, and you assume all and full responsibility for any risk, loss, damage, expenses, or whatsoever thereof.
   • Online Industrial disclaims liability for any loss, damage, expenses, or whatsoever whether direct, indirect, third party, associations, consequential in nature arising out of or in connection with your access to or use of the website and/or any content.
   • Online Industrial shall not be deemed, liable, responsible for any statements, expressions, content, quality, quantity, timeless, operation, integrity, warranties, guarantees, availability, infringements, functionality of the products, services, content and websites accuracy, reliability, security, completeness on/of the website.
   • In addition to the Terms and conditions, Privacy policy and all other content within the website, Online Industrial makes no warranty, guarantee, representation whatsoever whether implied or expressed that the website is free and clear from malware, spyware, trojans, viruses, destructive material, corrupt data or any other whatsoever which is able to destroy corrupt, compromise, disable, harm, block, jeopardize or otherwise impede in any manner the operation, stability, security functionality or content of your computer system, computer network, hardware or software in any way. You accept all risk associated with the existence of such viruses, destructive materials or any other data or code which is able to corrupt, compromise, jeopardize, disrupt, disable, harm or otherwise impede in any manner the operation or content of a computer system, computer network, any handset or mobile device, or your hardware or software, save where such risks arise due to the gross negligence or willful misconduct of Online Industrial, its employees, agents, associations or representatives. Online Industrial thus disclaims all liability for any damage, loss or liability of any nature whatsoever arising out of or in in connection with your access to or use of the Website.
   • Customer/consumer, user of any products and services agrees to abide by the safety protocols and warning/cautionary labels on all products and services purchased or offered by Online Industrial and associates, and indemnify any claim towards the supplier, representatives, employees, and associates thereof for whatsoever nature/reason.
   • Online Industrial reserves the right to cancel any orders, accounts, transactions without any notification for whatsoever reason.
   • The user/customer/account holder indemnifies Online Industrial, employees, associates, third party contractor from any claims and liability, damage, loss, expenses relating to the removal of repossessed goods. The value of repossessed or retained pledged goods shall be deemed to be the value placed on them by any sworn valuator after such repossession, and such valuation shall be conclusive proof of the value. Basically you, the client, the company, the user agrees that if you owe Onlineindustrial money, we may evaluate your assets and sale them to defraud money, interest and any other related costs involved.
   • The user/customer hereby consents to the use of cookies throughout the website and other ecommerce processes.

7. Warranty and repair services
   • All product/s and service/s are warranted/repaired by manufactures/OEM/importer.
   • Warranty claims are only applicable to products supplied by Online Industrial.
   • All manufactures/OEM/importer warranty and repair services terms and conditions apply to all product/s and service/s warranties.
   • All products purchased/used/operated by the user/customer/third party shall be deemed liable, capable, trained, and experienced in the use and maintenance of the product/s.
   • Product/s may only be used for built purpose thereof and any infringement thereof shall impose warranty null in avoid.
   • Online Industrial reserves the right to dismiss any warranty claim, repair, replacement, at Online Industrial own discretion without any given reason.
   • In the event of a refund on warranty/non-repairable product/s, Online Industrial may charge the user/customer for depreciation based upon actual use of product deducted from/to the refund value. Online Industrial shall not be deemed liable for any loss, damage, expenses or whatsoever indirectly, directly, incidental, or consequential thereof.
   • All approved warranty repairs are non-chargeable service; however, transportation/courier services are chargeable to the user/customer and thus agrees to liability thereof.
   • The user/customer agrees to the liability payment of an administration/Labour fee (R500,00) payable on quote/cancelled repairs of products that can be repaired. (The fee is imposed to cover services fees such as but no limited to Labour.)
   • The administration/Labour fee will not be charge on repaired products.
   • In the event of non-repairable products, Online Industrial will waiver the administration fee (R0,00).
   • No repair services shall commence until official order/payment is received.
   • The user/customer agrees to, any repairs/products exceeding three months from date of quote shall be sold to defray costs incurred by Online Industrial and the user/customer/account holder shall not hold Online Industrial deemed thereof for any loss, damage, delay, expenses, or whatsoever.
   • The above warranty and repair services is only a guideline. For specific product warranty, terms, and conditions please enquiry by Online Industrial.

8. South African Governing law and Jurisdiction
   • These Terms and Conditions and our relationship and/or any dispute arising from or in connection with these Terms and Conditions shall be governed and interpreted in accordance with the laws of the Republic of South Africa.
   • Your continued use of the Website will constitute your consent and submission to the jurisdiction of the South African courts regarding all proceedings, transactions, applications or the like instituted by either party against the other, arising from any of these Terms and Conditions.
   • In the event of any dispute arising between you and Online Industrial, you hereby consent to the non-exclusive jurisdiction of the High Court of the Republic of South Africa (Western Cape Division, Cape Town) notwithstanding that the quantum in the action or proceedings may otherwise fall below the monetary jurisdiction of that court.
   • Nothing in this clause 23 or the Terms and Conditions limits your right to approach any court, tribunal, or forum of competent jurisdiction in terms of the CPA
